Please read this SafeExchange User Agreement set out below, which includes disclaimers of liability and other important matters of interest to users generally. By pressing the "I Agree" button, you acknowledge that you have read and understood the SafeExchange User Agreement, and you agree unconditionally to be bound by the terms and conditions of the SafeExchange User Agreement and all amendments, revisions and additions which we may at our absolute discretion effect from time to time.

SafeExchange receives and holds the purchase funds of the Buyer until the Seller has shipped the merchandise, items or products to the Buyer through a carrier that provides online tracking of goods or a postal service that provides a return receipt. The Seller is responsible for the shipping and condition of the merchandise, item or product until it is received and accepted by the Buyer. It is recommended that the Seller obtain shipping insurance for the purchase price of the merchandise, item or product.

The Seller must ship the merchandise directly to the address provided by the Buyer. DO NOT SHIP MERCHANDISE TO SAFEEXCHANGE. Should any merchandise, item or product be delivered to SafeExchange, it shall have the right, at its sole and absolute discretion and without incurring any liability whatsoever, to (a) keep possession thereof until the Seller retrieves the same upon payment of storage fees; (b) return the merchandise, item or product to the Seller at the latter’s expense; (c) consider the merchandise, item or product forfeited in its favor with any obligation to reimburse the Seller for its cost or value; and (d) dispose the merchandise, item or product in any manner at the Seller’s expense. SafeExchange shall not be liable for any loss or damage to merchandise, item or product. Should Seller fail to ship or deliver within ten (10) calendar days from the date the transaction is confirmed by SafeExchange, SafeExchange shall have the right to return the purchase money or funds, less SafeExchange’s service fee, to the Buyer and cancel the transaction.

The Seller and its responsible stockholders, directors, officers and employees shall indemnify SafeExchange, its shareholders, directors, officers, employees and agents for, and hold it free and harmless from, any and all liabilities, losses, obligations, and damages which the latter may incur in connection with or arising out of the posting, publication, advertising, offer, distribution or sale of the products or services, including but not in any manner limited to those relating to the infringement of intellectual property rights, the right to privacy, false or fraudulent representations, and scandalous, libelous pornographic or lascivious content, and defective products or those caused by the Seller’s breach of these Terms and Conditions or any other agreement with SafeExchange or for violation of the law or the rights of a third party. In no event shall SafeExchange, its shareholders, directors, officers, employees and agents be liable for any special, incidental, indirect or consequential damages of any kind, or any damages whatsoever (including without limitation, those resulting from: (1) reliance on the materials or information presented by SafeExchange Website, (2) loss of use, data or profits, (3) delays or business interruptions, (4) and any other form of liability, arising out of or in connection with the use or performance of the SafeExchange Website and its associated services) regardless of any fault or negligence on the part of SafeExchange.

All Monthly Fees payable by the Seller shall be paid within the first five (5) days of the applicable month while Annual Fees shall be payable within the first five (5) days of the applicable year. All other amounts due to SafeExchange shall be paid within ten (10) days from receipt of the corresponding invoice or Statement of Account from SafeExchange. Failure of the Seller to pay any amount on its respective due dates shall render the Seller liable to pay SafeExchange 24% interest per annum plus attorney’s fees equivalent to 25% of the total amount due.

Upon verification and confirmation that the Buyer has received the merchandise, item or product, the Buyer shall have a period of seven (7) days within which to inspect and accept the merchandise. Upon acceptance or after the lapse of the period of seven (7) days, whichever comes first, SafeExchange shall release and disburse the funds or purchase money to the Seller, less applicable fees. If the Buyer does not accept the merchandise, the Buyer shall return the merchandise using the same carrier, to the Seller. Upon confirmed receipt by the Seller of the returned merchandise, SafeExchange shall refund the Buyer's purchase money less applicable charges and fees.

The Buyer and Seller acknowledge and agree that SafeExchange is providing an online venue to facilitate transactions between the Sellers and Buyers of goods and services for the limited purpose of facilitating the delivery of purchased merchandise, item or product and payment of the purchase price as outlined above.
